Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer" or "User") and OpenedLink ("we", "the platform"). By registering or using the services of openedlink.com, you agree to comply with these Terms. If you do not agree, you must not use the service.

1. Description of Service

OpenedLink is a SaaS (Software as a Service) platform that allows businesses to automate WhatsApp conversations using artificial intelligence. Services include: • Conversational bot management with AI (Anthropic's Claude). • Customer CRM and lead management. • Email marketing campaigns. • Service catalog and sales automation. • Message scheduler and post-service follow-up. • Admin panel and analytics.


2. Registration and Account

To use OpenedLink you must: • Be at least 18 years old or have legal authority to contract on behalf of a business. • Provide truthful, complete, and up-to-date information during registration. • Maintain the confidentiality of your access credentials. • Notify us immediately if you suspect unauthorized access to your account. You are responsible for all activities that occur under your account. OpenedLink is not responsible for losses resulting from unauthorized use of your credentials.


3. Acceptable Use

By using OpenedLink, you agree NOT to: • Send spam, unsolicited messages, or deceptive content through the bots. • Violate WhatsApp Business Policies or Meta's Terms of Service. • Use the platform for illegal, fraudulent activities, or those that harm third parties. • Attempt to access, hack, or interfere with OpenedLink systems or other customers' data. • Resell, sublicense, or transfer platform access without written authorization. • Collect data from minors without verified parental/guardian consent. • Use the platform to spread misinformation, hate content, or illicit material. We reserve the right to suspend or terminate accounts that violate these rules.


4. Plans, Pricing, and Billing

Services are offered under monthly or annual subscriptions based on the chosen plan. Prices are available at openedlink.com/pricing. • Charges are processed through Paddle, our payment provider. • Subscriptions renew automatically at the end of each period. • You may cancel at any time from your control panel; access will continue until the end of the paid period. • You may request a full refund within 14 days of your purchase or renewal. Refunds are processed through Paddle and will be credited to the original payment method within 5-10 business days. After the 14-day period, no refunds will be issued. • OpenedLink reserves the right to modify prices with at least 30 days prior notice.


5. Intellectual Property

• OpenedLink and its components (software, design, brand, algorithms) are the exclusive property of OpenedLink and are protected by intellectual property laws. • The content you create on the platform (bot texts, catalogs, campaigns) belongs to you. You grant us a limited license to process it to provide the service. • You may not copy, modify, distribute, or create derivative works of OpenedLink software without written authorization. • OpenedLink trademarks and logos may not be used without express permission.


6. Privacy and Data

The processing of personal data is governed by our Privacy Policy, available at openedlink.com/privacy. As a customer, you are the Data Controller for information about your end customers (WhatsApp users). OpenedLink acts as a Data Processor on your behalf. You are responsible for: • Obtaining necessary consents from your end users. • Complying with applicable data protection laws in your jurisdiction. • Not collecting sensitive data (health, financial, biometric) without adequate safeguards.


7. Availability and SLA

OpenedLink strives to maintain 99.5% monthly availability. However: • We do not guarantee uninterrupted availability. We perform scheduled maintenance with prior notice. • WhatsApp API availability depends on Meta and is outside our control. • AI performance depends on Anthropic and may vary. In case of significant interruptions (> 4 hours), we offer service credits proportional to downtime according to the contracted plan.


8. Limitation of Liability

To the maximum extent permitted by law: • OpenedLink shall not be liable for indirect, incidental, special, or consequential damages. • Our maximum total liability shall not exceed amounts paid for the service in the last 3 months. • We are not responsible for content generated by your bots or business decisions made based on platform data. • We do not guarantee that AI will always produce correct or appropriate responses.


9. Termination

• You may terminate your subscription at any time from the control panel. • We may suspend or terminate your account if: (a) you violate these Terms; (b) you fail to pay; (c) you use the service in a way that causes harm to others; (d) required by law. • Upon termination, you will have 30 days to export your data. After that period, we will delete it per our retention policy. • The Intellectual Property, Limitation of Liability, and Governing Law sections survive termination.


10. Governing Law and Dispute Resolution

These Terms are governed by the laws of Panama. Any dispute that cannot be resolved amicably shall be submitted to binding arbitration under the rules of the Panama Arbitration Center. If you are a consumer in the European Union, you may access the EU online dispute resolution platform (ec.europa.eu/consumers/odr). We reserve the right to modify these Terms with 30 days prior notice. Continued use of the service after the effective date of changes constitutes acceptance of the new Terms.
